FURNITURE AGREEMENT AND SPECIFICATIONS

The Kristian Brunsdale Studio (KBS) agrees to provide, and Client agrees to purchase the materials, labor and services described below, subject to the terms and conditions hereinafter provided:

Description of Furniture:

KBS shall complete the following furniture in a workmanlike manner:

Bough Dining Table (See Stoolie Chair Plan Dated 00/00/00) to be inclusive of the following:

1 - Cherry wood Bough Dining Table

40" wide x 60" long x 29" high

Top to be clear solid cherry wood with hand-carved edge detail

Frame and Legs to be hand-carved clear solid cherry wood

*Note: This is not an extension table with leaves

Finishing

Table is to have one seal coat applied and two clear top coats

Sheen to be low-luster

*Note: Finish to be the same as the stools

Stoolie Chair (See Stoolie Chair Plan Dated 00/00/00) to be inclusive of the following:

4-Stoolie Chairs hand-carved in clear solid cherry wood

Chair seats are clear solid cherry wood with seat bottom contoured for comfort

Finishing

To be the same as the above table & stools

Delivery:

Wrap, Package and Pallet - $XXX.XX FOB Wilsall

Estimated Completion Date:

KBS estimates that the above will be completed within 8-12 weeks of receipt of down payment.

Price; Payment:

The combined price of the table and chairs is $XXXX.XX which shall be paid as follows:

1/2 Down payment of $XXXX.XX due on date hereof

1/2 C.O.D. $XXXX.XX

*A late charge on all amounts due from Client at the rate of 1 1/2% per month (an ANNUAL PERCENTAGE RATE of 18%), or the maximum rate permitted by law, whichever is less, shall be paid by Client for each month or fraction thereof in which such amounts remain unpaid.

Additional Terms

Agreement Controlling. This Agreement constitutes the entrie agreement of the parties, supercedes all prior agreements and discussions of the parties, and may not be amended except by change order signed by Client and accepted by KBS.

Estimated Completion Date. The estimated completion date is KBS's best approximation of when the furniture will be completed. KBS does warrant that the furniture will be completed by the designated date, except for delays caused by KBS suppliers, additional work authorizations, customer delays, or acts of God and such delays will be disclosed in writing to Client as they occur.

Limitation of Warranty. KBS warrants that the furniture shall be free from defects in workmanship and materials under normal use and service for a period of one year from the completion date. THIS WARRANTY IS EXPRESSLY IN LIEU OF OTHERWISE, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OF FITNESS FOR A PARTICULAR PURPOSE. In no event shall KBS be liable for indirect, incidental or consequential damages of any kind whatsoever.

Changes. This Agreement shall not be cancelled, changed or reduced in amount nor any partial deliveries suspended by Client without KBS's prior written consent. KBS shall make all changes and additions to the furniture in the form of written change orders signed by the Client and a fifty percent (50%) deposit is required on changes of additions totaling $300.00 or more. The balance owing shall be paid on the completion date, as provided above.

Client Default. In the event of default by Client, Client agrees to pay KBS's costs of collection, including attorney fees and legal expenses.

Governing Law. The laws of Montana shall govern the validity, construction and performance of this Agreement.
